Periodically a client will ask me to draft a simple promissory note. So, I’ve attached a few versions here for future clients and existing clients to use at their convenience. A few things to note about a promissory note: one size does not fit all because often the promissory note is just a piece of the overall transaction. For instance it could be a document of several documents used for funding the purchase/sale of a business, or a mortgage, or in raising capital for a business. In any of those examples there would be additional documents such as a loan agreement, purchase and sale agreement, security agreement, and so on. A consultation with an attorney is always recommended.
