This is a Form of an Asset Purchase Agreement for a retail business. It is a short form (2 pages) which addresses basic such as purchase price, condition of assets being transferred, allocation of the purchase price, lease of premises, etc. must be addressed in this Agreement. The parties should consider whether, as here, a non-competition clause should be addressed and whether there is going to be some additional provisions for the indemnification of the purchaser for liabilities that arise before the closing. This form also includes a standard Bill of Sale form, non-compete agreement, and seller’s resolution approving the sale.
