The first form is a sample LLC operating agreement. As with all forms, this is for educational purposes only. However it closely mirrors all critical aspects of New York’s Limited Liability Company Law. It’s a great starting point for discussion in a multi-member LLC and more than sufficient form for a single member LLC.v
The Operating Agreement is the primary document that establishes the rights, powers, duties, liabilities and obligations of the members between themselves and with respect to the LLC. The Operating Agreement is an internal document of the LLC and is not filed with the Department of State.
